Introduction

These Terms govern access to and use of Prodora, operated by Thicle Sàrl-S.

Nature of the service

Prodora is a product data readiness and preparation platform for companies preparing product records for EU Digital Product Passport workflows. Prodora is not legal advice. Prodora is not a certified DPP service provider at this stage. Prodora does not guarantee compliance with final EU Digital Product Passport requirements.

Eligibility and business use

Prodora is primarily intended for business users, companies, founders, ecommerce teams, product teams, sustainability teams, importers, distributors, consultants, and agencies. Users submitting forms confirm they are authorised to provide information on behalf of the relevant company.

Accounts and access

Some areas may be restricted, invite-only, or beta-only. Prodora may refuse, suspend, or limit access where necessary for security, misuse prevention, or operational reasons.

Customer data and responsibility

Customers are responsible for all product data, supplier data, documents, claims, descriptions, certificates, product URLs, and other materials they submit. Customers must ensure they have the rights and authorisations needed to submit and use such data.

DPP readiness limitation

Readiness scores, missing-field checklists, passport previews, sample passport pages, demo materials, and reports are informational and operational tools. They are not legal determinations, certification decisions, regulatory approvals, or guarantees of compliance.

Supplier and third-party data

If customers submit supplier data or third-party documents, they confirm they are authorised to do so and that such submission does not breach confidentiality, data protection, trade secret, or contractual obligations.

Acceptable use

Users must not:

  • submit unlawful, misleading, infringing, confidential, or unauthorised data
  • use Prodora to publish false sustainability, origin, certification, or compliance claims
  • attempt to reverse engineer, scrape, attack, overload, or bypass security
  • upload malware
  • misuse forms or automated submissions
  • impersonate another person or company
  • use the service for unlawful purposes

Beta and early access

Prodora may be offered as early-access or beta software. Features may change, be incomplete, contain errors, or be discontinued. Prodora may modify the beta service based on feedback and product development.

Fees and paid services

Some services may later be paid, including assisted onboarding, founding brand access, setup packages, subscriptions, or reservations. Pricing and payment terms will be shown before purchase. If Stripe or another payment processor is added later, payment processing will be subject to that provider’s terms.

Intellectual property

Thicle Sàrl-S owns or licenses the Prodora website, software, design, demo materials, workflows, templates, and branding. Customers retain ownership of their submitted company and product data. Customers grant Thicle Sàrl-S the rights needed to host, process, display, analyse, and use submitted data to provide the service.

Confidentiality

Prodora will use reasonable efforts to treat non-public customer product/supplier data as confidential and use it only to provide, improve, secure, and support the service, unless disclosure is required by law or authorised by the customer.

Security

Prodora uses reasonable technical and organisational measures appropriate for an early-stage SaaS. No system can be guaranteed completely secure. Customers should not submit highly sensitive personal data, trade secrets, or regulated data unless appropriate arrangements are in place.

Disclaimers

The service is provided on an “as is” and “as available” basis to the maximum extent permitted by law. Prodora does not warrant uninterrupted availability, error-free operation, or that outputs will meet all legal, regulatory, customer, retailer, customs, or market-surveillance requirements.

Limitation of liability

To the maximum extent permitted by law, Thicle Sàrl-S is not liable for indirect, incidental, consequential, special, punitive damages, loss of profit, loss of revenue, loss of business, loss of goodwill, loss of data, or business interruption. For paid services, total liability is limited to the amount paid by the customer to Thicle Sàrl-S for the relevant service in the 3 months preceding the event giving rise to the claim, unless mandatory law requires otherwise. For free/demo/early access use, liability is limited to EUR 100 to the maximum extent permitted by law.

Indemnity

Business customers agree to indemnify Thicle Sàrl-S against claims arising from customer-submitted product data, unlawful claims, unauthorised supplier documents, infringement, breach of confidentiality, or misuse of the service.

Suspension and termination

Thicle Sàrl-S may suspend or terminate access for misuse, security risk, non-payment, legal risk, or breach of Terms.

Changes to terms

Terms may be updated. Material changes will be notified where appropriate.

Governing law and jurisdiction

These Terms are governed by Luxembourg law. Subject to mandatory rules, the courts of Luxembourg have jurisdiction.
